Summary

The General Counsel - Real Estate will be responsible for providing legal strategy, direction, support and advice to GBX Group and will assist in the management of the Legal team, including, but not limited to, supervising one or more attorneys and paralegals. This role will manage the legal aspects of real estate transactions, development and asset management. The General Counsel - Real Estate must be a creative thinker with the ability to supervise multiple complex matters and a willingness to take ownership to solve problems and achieve desired outcomes. This role will be a member of the Legal team, will work closely with the Tax Group and senior executive team, and will interact with outside counsel in various states.

Essential Duties and Responsibilities
  • Lead the structuring, negotiation and completion of complex real estate transactions within tight timeframes.
  • Work with cross-functional teams to coordinate with joint venture partners, mitigate risk and solve issues as they arise.
  • Oversee the many legal aspects of the real estate development and asset management functions.
  • Identify transactional issues and propose innovative solutions to business problems.
  • Move initiatives forward by monitoring progress and coordinating team responses to get optimal outcomes.
  • Assist in the tax structuring and execution of various private equity and joint venture investments and co-investments in a partnership environment.
  • Consult with company entities and joint venture entities on various state and federal tax incentives including, without limitation, state and federal historic tax credits.
  • Assist in the management of the Legal team, including, but not limited to, supervising one or more attorneys and paralegals.
  • Assist Chief Legal and Compliance Officer in the development of corporate legal strategy to promote and protect the company’s matters.
  • Interact with GBX Group’s Chief Legal and Compliance Officer, paralegals, and outside counsel in various states, as well as with GBX Group’s business development staff and senior leadership.
Education / Experience
  • 10+ years of transactional experience in a law firm or in-house legal department.
  • J.D. from an accredited American law school required; admission to the bar of any state required (admission to Ohio bar preferred).

Computer Skills
  • Proficiency with Microsoft Office software (Word, Excel, PowerPoint, Outlook).
  • Experience with traditional legal research software (Westlaw, RIA, etc.).
  • Ability to learn proprietary software.
